Recommendation:

title

Adopt a resolution authorizing the acceptance of a five-acre storm drainage easement from Joe Marchesotti Co., Inc., associated with the future Community Park property, and authorize the City Manager to execute the Certificate of Acceptance and any related documents necessary to complete the acquisition and recordation of the easement.

body

Background:

On June 16, 2026, the City Council approved a Purchase and Sale Agreement and Joint Escrow Instructions with RAFF 2, LLC, for the acquisition of approximately 60 acres of property located along Union Road in North Manteca for the development of a future Community Park and stormwater basin facility.

The agreement established a total purchase price of $6,500,000, including $650,000 for the acquisition of a five-acre storm drainage easement. The agreement provides for the acquisition to occur in phases, with the five-acre easement being acquired first and the remaining property to be acquired following satisfaction of certain conditions outlined in the agreement.

As part of the June 16, 2026, action, the City Council appropriated $6,550,000 from the Parks Acquisition & Improvement Fund (Fund 500) to fund the acquisition and associated transaction costs and authorized the City Manager to execute the Purchase and Sale Agreement and related documents necessary to complete the transaction.

In accordance with the approved agreement, the City deposited $650,000 into escrow on October 13, 2026, for the acquisition of the five-acre storm drainage easement and on the same day the Grant of Easement Agreement was prepared for the City's acceptance. The easement is being granted by Joe Marchesotti Co., Inc., the underlying property owner, and provides the City with the necessary property rights to construct, operate, maintain, repair, and replace storm drainage facilities, including a stormwater basin and associated improvements.

Although the City Council previously approved the acquisition and authorized execution of the associated transaction documents, the City Attorney has recommended that the City Council formally accept the easement and authorize the City Manager to execute a Certificate of Acceptance to facilitate recordation.

The recommended action implements the previously approved Purchase and Sale Agreement and does not modify the purchase price, authorize additional expenditures, or change the terms of the acquisition. Upon approval, the City Manager will be authorized to execute the Certificate of Acceptance and any related documents necessary to complete the transaction and record the easement with the San Joaquin County Recorder's Office.

Fiscal Impact:

The $650,000 acquisition cost for the five-acre storm drainage easement is included in the previously approved $6,500,000 purchase price and is funded through the $6,550,000 appropriation from the Parks Acquisition & Improvement Fund (Fund 500), approved by the City Council on June 16, 2026.

The $650,000 has been deposited into escrow. No additional appropriation is required, and the recommended action has no additional fiscal impact.

There is no General Fund impact.
